Wayne practices business law. He provides advice and representation to public and private companies, entrepreneurs and start-up businesses in a wide variety of industries. His practice embraces all aspects of business representation with an emphasis on complex acquisitions, dispositions and business combinations involving privately and publicly held companies, commercial and venture capital financing (representing both companies and investors), strategic alliances, joint ventures, technology licensing and executive compensation programs. Wayne has served as a director of two publicly-held technology companies and has an extensive network in the venture capital, investment banking and technology communities. Wayne focuses on counseling Internet and other high-technology companies and assisting them through critical growth phases. He has been actively counseling Internet companies since 1993. Representative technology clients include business and consumer orientated e-commerce companies and exchanges, Internet service providers, new media companies, computer software developers, telecommunication providers, electronics manufacturers and biotechnology companies. Wayne advises start-up and established businesses in strategic alliances and content and technology licenses with companies such as GE, IBM, Nortel Networks, Williams Communications, US West, and Pasteur-Merieux-Connaught.
Wayne joined the firm in 1984 and became a principal in 1991. He has lectured before business groups on legal issues involving the Internet, strategic alliances and venture capital.
Wayne received his B.A. (1981) cum laude from American University and his J.D. (1984) with honors from the University of Connecticut.
